End User License Agreement

This End User License Agreement ("Agreement") is concluded between Göksel Urhan ("Licensor") and you regarding the use of the Atlas software ("Software"). By purchasing, installing or using the Software, you accept this Agreement. This Agreement applies together with the Terms of Service, the Refund Policy and the Privacy Policy; in case of conflict regarding the use of the Software, this Agreement prevails.

Grant of license

For each paid and non-refunded license, you are granted a non-transferable, non-exclusive, non-sublicensable right to install and use the Software on any number of Proxmox hosts. Update access applies to as many hosts at once as the update licenses in your plan; other hosts keep running at their installed version. For the versions you are entitled to, this right of use is not time-limited: even after your update period ends, you may continue to use the last version you were entitled to.

Open-source components

The agent component of the Software running on the host is offered as open source under the AGPL-3.0-or-later license; that open-source license governs that component, and this Agreement does not restrict the rights it grants. All other components, including the interface, product intelligence and distribution components, are the property of the Licensor and are subject to this Agreement.

Update entitlement

A purchase includes update access for the period paid for. Update access is provided through personal credentials tied to your account and is verified on our servers. Update access (the update license) is bound to the server it is installed on and applies to as many servers at once as your plan covers. To move an update license to a new server, it is first released from the server it sits on; a released server keeps running but receives no updates, and that license cannot be moved back to it. If no update license is free, no new installation link is issued; to keep more servers up to date at the same time, additional update licenses are added. If Proxmox is reinstalled, the license can be used again on the same server. When the period ends, access to new versions stops; the installed Software keeps running on the last version you were entitled to.

Restrictions

The following are prohibited: copying, distributing, renting, sublicensing or making the closed components available to third parties; sharing or transferring the license key or update credentials; circumventing or attempting to circumvent license, verification or update mechanisms; reverse engineering, decompiling or creating derivative works except as permitted by mandatory law and the licenses of open-source components; attempting to keep more hosts current at once than the update licenses in your plan allow.

License verification and online communication

The software is designed to work without an internet connection. It connects to our servers only for license operations, update checks and package downloads; and, only if you switched them on, for watch notifications and usage statistics. The data processed over these connections is explained in the Privacy Policy. We do not remotely disable or delete your installed system. On installations without a valid license (for example after an approved refund) commercial components may become unusable and a removal option is offered in the interface; no intervention is made in your Proxmox environment or your data.

Operations and backup responsibility

The Software is an infrastructure management tool running with root privileges. Verifying that you have current backups and rollback points (snapshots) before critical operations is your responsibility. The Software’s warnings, analyses and recommendations are decision support; they do not constitute a guarantee for your environment.

Intellectual property

The Software is licensed, not sold. Except for open-source components, all rights in the Software, brand and content belong to the Licensor. Atlas is an independent product and is not affiliated with Proxmox Server Solutions GmbH.

Term and termination

This Agreement remains in force for as long as your license is valid. Upon a material breach of this Agreement, a refund of the related purchase, or a successful chargeback, the related license terminates automatically. Upon termination you must stop using and remove the closed components. Your right of use for versions you were entitled to in non-refunded periods is preserved.

Disclaimer of warranties

The Software is provided "as is"; to the maximum extent permitted by law, no express or implied warranties are given. Infrastructure operations carry inherent risk.

Limitation of liability

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special or consequential damages, and our total liability is limited to the amount you paid us in the twelve months preceding the event giving rise to the claim. Liabilities that cannot be limited by law are reserved.

Governing law

This Agreement is governed by the laws of the Republic of Türkiye; mandatory consumer protection provisions of your country of residence are reserved.
